Jay Gandhi
Shardul Amarchand Mangaldas & Co.

Jay Gandhi is a Partner with Shardul Amarchand Mangaldas & Co’s Mumbai office and specialises in Investment Funds, Private Equity and M&A. Prior to joining Shardul Amarchand Mangaldas, he worked at J. Sagar Associates, Advocates and Solicitors and was a partner there since 2010.

He actively represents international and domestic fund managers in relation to structuring, formation and regulation of private equity funds, hedge funds, venture capital funds, alternative investment funds and mutual funds, including India focused international funds. Jay has been involved in strategic joint ventures for setting up several funds and regularly negotiates fund documents on behalf of the GP as well as the LPs. Jay frequently advises on the nuances of a dynamic regulatory regime and evolving trends around funds, pooling vehicles and financial intermediaries in India.

He has extensive experience in cross-border and domestic mergers and acquisitions, joint ventures and corporate restructuring, with a particular focus on private equity transactions. He has represented international and domestic funds as well as promoters and the target companies in all forms of private equity deals, ranging from venture capital investments to complex leveraged buy-outs. Jay has been involved in several marquee private equity and M&A transactions across various sectors like financial services, real estate, retail and industrial and manufacturing.

Manish Shah

Manish Shah is a Partner with Sudit K. Parekh & co. and heading the Direct tax practice. His core expertise lies in International and Domestic taxation, Due-Diligences, Transaction support and Advisory services for clients including manufacturing, services and information technology and Representations in tax matters at appellate, tribunal and High Court and Supreme court levels.

With an experience of over 20 years, he brings to each assignment his intuitive insights and sound knowledge of the Indian Tax Regulations. He has served various domestic and foreign clients with complex transaction support and advisory requirements. He has represented clients’ from various sectors for tax matters at the Appellate, Tribunal and Court (upto Supreme Court) level. He handles foreign clients having turnkey projects, infrastructure projects and having permanent establishments in India.

He is qualified Chartered Accountant from Institute of Chartered Accountants of India (ICAI). He is a frequent speaker at various forums, including Study circle meetings, the Institute of Chartered Accountants of India, conferences, meetings, deliberations, etc.

Yashojit Mitra
Cyril Amarchand Mangaldas

Yashojit Mitra is a partner at Cyril Amarchand Mangaldas’, Mumbai office. He has over 13 years of experience in managing mergers, acquisitions, foreign investments and private equity transactions. He regularly advises international and local clients on inbound investments into India and outbound investments from India. He also has experience rendering advisory services to clients in connection with legal issues pertaining to company law, securities laws, exchange control laws and other related enactments.

After graduating from St. Xavier’s College, Calcutta, he earned his law degree from the University of Pune, where he was a gold medallist and ranked first. Yashojit has successfully taken the Qualified Lawyers Transfer Test and is admitted to practice in the courts of India, England and Wales. He has been named as a recommended lawyer by ‘Legal 500’ for transactions relating to investment funds.

Yashojit has acted on a number of landmark transactions, including advising the Adani group in their joint venture with CMA CGM, for managing and operating a container terminal in Mundra Port. He has also recently advised Bradken Limited, a global mineral processing company, in their recent acquisition of a foundry unit in Coimbatore, Tamil Nadu from L&T Limited. He also regularly advises leading solar power companies in their various acquisitions in India.

Amit Manubarwala

Amit Manubarwala is an Associate Partner in the Corporate & Commercial and Private Equity & Venture Capital practices of ELP. He specialises in corporate and commercial transactions, private equity investments, mergers and acquisition, business acquisition transactions and joint ventures.   Amit has advised on setting up of business entities in India and represented foreign and Indian clients who require general advice on their transactions in India. He has also advised foreign multinationals clients on optimal structuring options and entry/ investment strategies for their acquisitions in India as well as Indian promoters in relation to sale of their entire business to foreign multinationals. He has advised clients across varied sectors including pharmaceutical and healthcare, IT, aviation, textile and infrastructure.

Prior to joining ELP, Amit was a Partner with Wadia Ghandy & Co, Mumbai, where he worked for a period of 9 years, specialising in transactional and advisory work in relation to private equity investments, mergers & acquisitions and joint ventures across different sectors. He was also leading the competition law practice in Wadia Ghandy & Co. 

Amit is a qualified Solicitor and was admitted to the Bombay Incorporated Law Society in 2004. He graduated from the Government Law College (Mumbai University) in 2002.
